1.1 You contract with Ulleo Holdings Pty Ltd ABN 84 661 335 173 (Ulleo, we, us, our). You means the practice, group, employer or other organisation identified as the purchaser in the accepted quote, order form or tax invoice. A participant is an individual allocated a seat.
1.2 AI Institute is a program and brand operated by Ulleo, not a separate legal entity. Ulleo is the supplier and merchant of record. A Program's Distribution Partner, an accredited provider and a panel consultant are not the supplier under your seat purchase.
1.3 Your agreement for the seat purchase consists of: the accepted quote, order form or Offering Schedule (Order); these Practice and Group Enrolment Terms; any Program Rider that applies to the Program; and the Refund and Cancellation Policy identified in the Order.
1.4 Each participant has a separate agreement with us under the Program Terms and Conditions. You must not permit a participant to access the Program until they have accepted those terms and received the applicable privacy collection notice.
1.5 If there is an inconsistency, the Order prevails on commercial particulars, then any applicable Program Rider, then these terms, then the Refund and Cancellation Policy.
1.6 Capitalised terms such as Program, Offering, Offering Type, Series, Session, Distribution Partner, accredited provider and Arranged Service have the meaning given in the Program Terms and Conditions unless these terms say otherwise.
2.1 The Order states the Program, Offering, Offering Type, tier, number of seats, participant cohort, inclusions, price, any offer or discount, GST and payment due date.
2.2 Prices are in Australian dollars and include GST unless the Order clearly states otherwise.
2.3 From time to time, we may offer promotional pricing, multi-seat or group discounts or other special offers. Any specific terms, eligibility requirements, expiry dates or exclusions will be communicated as part of the relevant offer or stated in the Order. Unless the offer says otherwise, offers cannot be combined.
2.4 Payment is due in full by the due date in the Order and before participant access is activated. We may withhold activation until cleared payment is received.
2.5 We issue the tax invoice as merchant of record. You must provide the correct legal name, billing address and ABN, where applicable.
2.6 If you use a third-party payment method, any credit or repayment arrangement is between you and that provider under its terms. We do not provide the credit.
2.7 Seats do not auto-renew and are not a subscription, unless the Order expressly states otherwise.
3.1 Give us each participant's name, business email and role at least five business days before their first Session or activation, or within another timeframe stated in the Order.
3.2 You confirm that: you have told the participant that you are buying or allocating the seat; you are authorised to give us the participant's business contact details for that purpose; the details are accurate; and you have given the participant our collection notice or directed them to it before we contact them where reasonably practicable.
3.3 Do not provide a participant's professional-association membership number or other sensitive information. We will collect that information directly from the participant with any consent required for CPD administration.
3.4 Each participant must meet the eligibility requirements for the Offering. If they do not, you may allocate the seat to another eligible participant under section 4.
3.5 A seat may be held and used by one participant at a time. Participants must not share an account or login.
4.1 Where the Offering Schedule identifies a substitution right, you may substitute another eligible participant into a seat under section 9 of the Refund and Cancellation Policy.
4.2 When the substitution takes effect: the outgoing participant's access ends; the substitute receives the remaining access attached to the seat, including any unused Arranged Service; only the current participant may use the account or access; and the outgoing participant cannot resume that seat unless we agree in writing.
4.3 Where the Offering carries CPD, each participant receives CPD only for the accredited activities they personally complete and for which they meet the requirements. A mid-Offering substitution may mean that neither participant qualifies for the full CPD hours.
4.4 We may refuse or delay a substitution only where reasonably necessary because the proposed participant is ineligible, required information or acceptance is incomplete, CPD reporting has closed, or the request creates a security or compliance risk.
5.1 The change-of-mind, transfer, substitution and cut-off rules for seats under this Order are set out in the Refund and Cancellation Policy for the Offering Type stated in the Order.
5.2 Outside those rules, we do not give change-of-mind refunds or partial refunds, but we may make an exception in exceptional circumstances.
5.3 If you cancel some seats and the original price depended on a multi-seat discount or other offer, the retained seats will be priced using the price or offer that applied on the original Order date to the reduced seat quantity. Your refund is the amount originally paid less that recalculated price. The recalculation will not increase the total amount you originally agreed to pay.
6.1 This section applies only where the Order states the Offering, or part of it, is accredited, or is seeking accreditation, by a professional or accrediting body.
6.2 CPD belongs to the individual participant who completes the accredited activity. It is not transferable to you or another participant. The completion requirement for each activity is the requirement stated in the Order or Offering Schedule.
6.3 Where accreditation is pending, the Order and participant Offering Schedule must state that accreditation is pending and that the activity numbers and hours are not confirmed. Once approved, they will record the accredited provider, activity numbers, CPD types and hours.
6.4 Where the accredited provider is an organisation other than Ulleo, that organisation issues statements of completion and reports CPD to the accrediting body, and Ulleo remains your supplier.
6.5 We may tell you whether a participant activated their seat and completed the Offering. We do not provide their individual assessment answers or results unless the participant consents or law requires it.
6.6 If we represented when the Order was accepted that specified CPD was approved and it becomes unavailable through no fault of the participant, clause 7.7 of the Program Terms and Conditions applies to each affected seat. We will consult the participant, because the CPD record belongs to them.
6.7 No change-of-mind refund is available merely because a participant did not meet the published completion requirements. A statement that another professional body may recognise an activity is not a guarantee that it will.
7.1 Our Privacy Policy and the applicable collection notice explain how we handle purchaser and participant information.
7.2 Where the Offering is accredited, we may collect professional identifiers and completion information and disclose what is reasonably required to the accredited provider and accrediting body. Where the Program has a Distribution Partner, we may share limited contact information with it for the purposes described in our Privacy Policy. Where a participant is entitled to an Arranged Service, we disclose booking details to the panel consultant who provides it.
7.3 You must handle participant information lawfully and securely and must not use information received from us for an unrelated purpose.
7.4 You are responsible for ensuring that any internal employee monitoring, performance or training policy you apply is lawful. Our confirmation of enrolment or completion is not an employment performance assessment.
8.1 Participants must comply with the Program Terms and any applicable Program Rider, including any prohibition on sharing sensitive information and the rules for recordings, accounts, Arranged Services and respectful conduct.
8.2 We may take proportionate action, including suspension or removal, where a participant seriously breaches those terms. Except where immediate action is reasonably necessary, we will explain the concern and give the participant a reasonable opportunity to respond or correct it.
8.3 If we reasonably end a participant's access for a serious breach, no change-of-mind refund or transfer applies to that participant's use. You may request an eligible substitute for the remaining delivery, subject to section 4 and any safety, security or compliance restriction.
9.1 We reserve the right to change who delivers an Offering and how it is delivered, as set out in clause 2.3 of the Program Terms and Conditions.
9.2 The Refund and Cancellation Policy sets out your options if we materially reschedule or cancel the Offering.
9.3 To the extent permitted by law, we are not responsible for incidental costs such as locum or leave cover, employee time, travel or lost business revenue.
10.1 We own or license the Program and Program materials. Each participant receives only the limited licence stated in the Program Terms.
10.2 Buying multiple seats does not give you an organisation-wide licence. Only allocated participants may access or use the materials unless the Order expressly includes broader practice rights.
10.3 You may use reports or templates expressly described as practice-use resources within your own organisation, subject to any conditions stated with them. You must not resell, publish or use Program materials to deliver another training product.
11.1 Section 16 of the Program Terms and Conditions applies to this Order, reading "purchase" as "Order", and reading the reference to a breach of clause 6.5 or section 11 as including a breach by you or by a participant you allocate a seat to.
12.1 The version accepted with the Order applies to that Order. We may update these terms for future Orders at any time.
12.2 We may assign or transfer our rights and obligations to a related body corporate, or to a buyer of all or part of our business, provided this does not materially reduce your rights under this Order. You may not assign or transfer yours without our written consent, except as permitted by the substitution rules in section 4.
12.3 If a provision is invalid or unenforceable, it is read down or severed to the minimum extent necessary. The rest continues.
12.4 A delay in exercising a right is not a waiver.
12.5 Notices. We may give you notices by email to the contact in the Order, and you must keep it current. You may give us notices by email to support@ai-institute.com.au. An email notice is received when sent, unless the sender receives a delivery failure message.
12.6 These terms are governed by the laws of Victoria. The courts of Victoria have non-exclusive jurisdiction.
