Program Terms and Conditions

1. Who you contract with

1.1 You contract with Ulleo Holdings Pty Ltd ABN 84 661 335 173 (Ulleo). In these terms, we, us and our mean Ulleo. You means the individual enrolled in or otherwise purchasing an Offering.

1.2 AI Institute is a program and brand operated by Ulleo Holdings Pty Ltd, ABN 84 661 335 173. It is not a separate legal entity, and it does not itself enter into contracts, receive payments or hold rights. Every right and obligation described as belonging to AI Institute belongs to Ulleo.

1.3 A Program may be distributed or co-branded with one or more Distribution Partners. Your contract for purchase and payment is with Ulleo, not a Distribution Partner. Ulleo is the supplier and merchant of record for every Offering.

1.4 Your agreement with us consists of: these Program Terms and Conditions; any Program Rider that applies to your Program; your Offering Schedule, including the particulars shown in it; and the Refund and Cancellation Policy published and accepted when you purchased. Our Privacy Policy and the collection notice shown at purchase explain how we handle personal information. They are notices and do not form part of this contract, except as required by law.

1.5 If there is an inconsistency, the following order applies: your Offering Schedule, then the applicable Program Rider, then these terms, then the Refund and Cancellation Policy. A specific Offering or Program term prevails over a general term.

1.6 If a practice, group or employer purchased your seat, the Practice and Group Enrolment Terms govern its purchase. You must still accept these terms before we activate your access.

2. What you are purchasing

2.1 A Program is a named market offering for a defined audience or industry vertical. An Offering is a specific product or service made available for purchase under a Program. Every Offering has an Offering Type, which determines its delivery structure and its change-of-mind mechanics under the Refund and Cancellation Policy. Where an Offering is structured as one or more scheduled or sequential units, those units are called Sessions and, where sold together, a Series.

2.2 Your Offering Schedule records the material particulars of your Offering, including its Program, its Offering Type, delivery format and dates or access arrangements, inclusions and access period, price paid, and CPD or other accreditation status and completion requirements, where applicable.

2.3 Offerings are delivered by facilitators, presenters, consultants and other personnel we engage. We reserve the right to change who delivers any Session or service, and to change the running order, format, examples, content, platforms and other delivery arrangements, at any time, including where a person has been named or promoted in connection with the Offering. We will make any change in good faith, and a change will not materially reduce the overall value of what you purchased. If it does, clause 2.4 applies.

2.4 If we make a change that materially reduces the value of your Offering, we will notify you, and you may choose to accept the changed Offering, transfer to the next suitable equivalent Offering, or receive a refund for the affected part of your Offering.

2.5 Where recordings of a live Session are included, we will make them available for the access period shown in your Offering Schedule. If a material recording is unavailable because of a technical failure, we will provide a reasonable alternative, such as a replacement Session or equivalent learning material.

2.6 We may add, change, withdraw or restructure Programs, Series, cohorts, Offerings, tiers, inclusions, formats, prices and schedules at any time for future purchases. Your Offering Schedule records what you bought. Changes after your purchase are dealt with under clauses 2.3 and 2.4 and section 13.

3. Eligibility and your account

3.1 You must be at least 18 years old, unless your Offering Schedule states otherwise and sets out the process that applies.

3.2 Some Offerings are restricted to, or carry CPD only for, a stated professional cohort. You must meet the eligibility requirements shown at purchase and provide accurate information reasonably required to verify eligibility or report CPD.

3.3 Your account and purchase are personal to you. Keep your login secure and do not share it. Tell us promptly if you believe somebody else has used it.

3.4 We may cancel a purchase before the Offering starts or before access is activated if you are not eligible. If you gave accurate information and reasonably believed you were eligible, we will refund the amount paid. If you knowingly gave false information, we may deduct any reasonable, unrecoverable processing cost to the extent permitted by law.

4. Price and payment

4.1 Prices are in Australian dollars and include GST, unless your Offering Schedule states otherwise.

4.2 Payment is due in full at purchase or, for a practice purchase, by the due date on our invoice and before access is activated.

4.3 We may offer a payment method provided by Stripe or another third-party payment provider, including a buy-now-pay-later provider. If you choose one, you may enter a separate agreement with that provider. We do not provide the credit. The provider's terms, fees and eligibility rules apply to that separate arrangement.

4.4 A refund we approve will ordinarily be returned through the original payment method. Any separate balance or repayment adjustment with a third-party payment provider is governed by that provider's terms.

4.5 We may change prices for future purchases. A price change does not affect a completed purchase.

4.6 From time to time, we may offer promotional pricing, discounts or other special offers. Any specific terms, eligibility requirements, expiry dates or exclusions will be communicated as part of the relevant offer. Unless the offer says otherwise, an offer must be applied at checkout or stated in our written quote, cannot be combined with another offer, has no cash value, and cannot be applied retrospectively.

4.7 A purchase does not auto-renew and is not a subscription, unless your Offering Schedule expressly states otherwise.

5. Change of mind, transfers and substitutions

5.1 The change-of-mind, transfer, substitution and cut-off rules for your Offering are set out in the Refund and Cancellation Policy for its Offering Type.

5.2 Outside those rules, we do not give change-of-mind refunds or partial refunds, but we may make an exception in exceptional circumstances.

6. Live Sessions and recordings

6.1 Where your Offering includes live Sessions, they are usually delivered in a webinar format. Participants see and hear the presenters, but are not usually shown on camera or heard, and take part by submitting questions and comments in writing.

6.2 We may record Sessions and use the recordings to deliver the Offering to enrolled participants during the access period, and for administration, quality assurance and accreditation. If your question, comment or display name is read out or shown during a Session, it may appear in the recording, and you permit us to use it for these purposes and those in clause 6.4.

6.3 We may change the format of a Session, including to invite participants to appear on camera or speak. If we do, we will tell you beforehand, taking part that way will be optional, and we will ask for any consent needed.

6.4 We may use recordings, excerpts and clips of Sessions to promote our Programs, and may use your questions and comments for that purpose with your name and any details that could reasonably identify you or a patient removed. We will not identify you in our marketing, or present you as endorsing a Program, without your permission.

6.5 You must not record, screenshot or download a Session, or share a recording, login or Program material with anyone else, unless we permit it.

7. CPD and professional accreditation

7.1 This section applies only where your Offering Schedule states your Offering, or part of it, is accredited, or is seeking accreditation, by a professional or accrediting body.

7.2 Your Offering Schedule must state whether accreditation is approved, pending or not accredited. We will not describe an accrediting body's approval, an activity number, categories or hours as confirmed while an application is pending.

7.3 Where accreditation is approved, your Offering Schedule will identify, where applicable: the accrediting body; the accredited provider; each approved activity and its activity number; the approved CPD types and hours; and the completion requirements.

7.4 The accredited provider. The accredited provider is the organisation that holds the accreditation with the accrediting body. It may be Ulleo or another organisation, such as a Distribution Partner, as stated in your Offering Schedule. Where the accredited provider is another organisation:

(a) Ulleo remains your supplier and merchant of record, and you contract with Ulleo for the Offering;

(b) the accredited provider is responsible to the accrediting body for the accredited activity, and issues any statement of attendance or completion and reports CPD to the accrediting body, as described in your Offering Schedule;

(c) we will give the accredited provider the information reasonably required for it to do so, as described in our collection notice; and

(d) we will coordinate with the accredited provider on any question or complaint about your CPD record, and remain your contact about the Offering we sold you.

7.5 The completion requirement for each accredited activity is the requirement stated in your Offering Schedule. Where an Offering contains more than one accredited activity, CPD is recorded activity by activity, so you receive CPD for each activity whose completion requirement you meet. Viewing a recording or accessing on-demand content does not, by itself, complete an accredited activity unless your Offering Schedule says so.

7.6 If you do not receive CPD because you did not complete a disclosed completion requirement, or because you did not provide or consent to the disclosure of the professional identifier the accrediting body requires, that does not create a change-of-mind refund right.

7.7 If we represented at purchase that specified CPD was approved for your Offering and it becomes unavailable through no fault of yours:

(a) we will offer you a free place in an equivalent accredited activity in a later Offering, for each affected activity;

(b) if we cannot offer a suitable place within 12 months, we will instead refund the percentage stated in your Offering Schedule (or, if none is stated, 20%) of the price attributable to each affected activity; and

(c) we may, at our election, pay that refund instead of offering a place.

Unless your Offering Schedule states otherwise, the price attributable to an activity is the price you paid, divided equally between the accredited activities in your tier. This clause does not limit your rights under clause 16.1.

7.8 We or the accredited provider may need to correct a CPD record if information is inaccurate or the accrediting body requires it. We will notify you of any material correction affecting your record.

7.9 Recognition by other bodies. Where your Offering Schedule or Program Rider says that a professional body other than the accrediting body may recognise an activity, that statement describes that body's own published rules as we understand them. It is not an accreditation or approval by that body. Whether, and how much, that body recognises the activity is decided by that body under its rules, not by us or the accredited provider. We do not guarantee it, and a decision by that body not to recognise the activity does not create a refund right.

8. Program-specific conduct, safety and professional requirements

8.1 Where a Program Rider applies to your Program, it forms part of your agreement and may impose additional conduct, safety, professional-practice or information-handling requirements specific to that Program's industry vertical.

8.2 The Program is professional education or a professional service, not personalised medical, legal, financial or other regulated advice specific to your circumstances. AI tools support professional judgement and do not replace it. You must review outputs for accuracy, safety, privacy and suitability before relying on them.

8.3 You remain responsible for your own professional and business decisions, professional obligations, registrations, indemnity arrangements and compliance with applicable law, professional standards and your own organisation's policies.

8.4 You must behave lawfully and respectfully and must not harass others, disrupt delivery, compromise security, infringe rights, or use the Program in a way that breaches an applicable Program Rider.

8.5 We may take proportionate action to protect participants, the Program and our systems. Except where immediate action is reasonably necessary, we will explain the concern and give you a reasonable opportunity to respond or correct it.

8.6 We may suspend or end access immediately for a serious breach, including a breach of an applicable Program Rider, serious harassment, fraud, account sharing or a material security risk. A change-of-mind refund or transfer is not available where we reasonably end access for your serious breach.

9. Sponsors and third-party tools

9.1 An Offering may include an optional sponsor-funded or vendor Session where its Offering Schedule says so. Where an Offering includes an accredited activity, the applicable Program Rider and the activity's approved conditions govern how sponsor content is kept separate, disclosed and treated for CPD.

9.2 Attendance at a sponsor or vendor Session is optional. A sponsor does not receive participant contact information from us for its own marketing unless the participant separately agrees.

9.3 Mentioning or demonstrating a third-party tool is not an endorsement or a promise that it is suitable for your purposes. Third-party terms and privacy practices apply to your direct use of that tool.

10. Services we arrange that an independent consultant provides

10.1 This section applies where your Offering Schedule includes, or you buy, a one-to-one review, consultation or similar service that it describes as provided by an independent panel consultant (an Arranged Service).

10.2 What we supply. For an Arranged Service, we supply: the entitlement to the service; the arrangement of the service with a suitable consultant from the panel of consultants we engage; the format, intake form and templates; and, where you paid for it separately, the booking. We choose the consultant, set the format and standards, and monitor quality.

10.3 What the consultant supplies. The consultant provides the service to you directly, in its own name, under short engagement terms you accept when you book (the Engagement Terms). The consultant is responsible to you for the advice, report and any other material it gives you in the service. The Engagement Terms name the consultant and the person who will deliver the service before you confirm the booking.

10.4 What an Arranged Service is not. Unless your Offering Schedule says otherwise, an Arranged Service is not part of any accredited activity, carries no CPD, is not recorded by us, and does not include clinical, legal, privacy, compliance or financial advice, building, configuring or connecting anything, or access to your systems.

10.5 Booking. You must request or book an Arranged Service by the date stated in your Offering Schedule or booking invitation. The non-attendance rules stated in your Offering Schedule and the Engagement Terms apply. An included Arranged Service has no cash value, cannot be transferred or sold, and does not roll over to a later Offering.

10.6 Further work. A consultant may tell you about further paid services it offers, within the limits stated in your Offering Schedule and the Engagement Terms. Any further work is optional, is quoted by the consultant in writing before it starts, and is a separate arrangement between you and the consultant. We may receive a referral fee if you buy further work from a consultant, and the Engagement Terms disclose this.

10.7 If it does not happen. If an Arranged Service you booked in time is not delivered for a reason within our or the consultant's control, we will, within a reasonable time, arrange for another panel consultant to provide it, or provide an equivalent alternative described in your Offering Schedule. This does not limit your rights under clause 16.1.

10.8 Your information. We give the consultant your booking details and intake form so it can deliver the service, and we receive a copy of any written report for your course record, as described in our collection notice.

10.9 Exporting your information. To help the consultant prepare, you may export your own information from our learning platform, such as your work and artefacts, and send it to the consultant. This is optional. If you do:

(a) you choose what to send, and you must not include patient information or any information you are not permitted to share;

(b) once the file leaves our platform, the consultant is responsible for how it handles that copy under the Engagement Terms; and

(c) we are responsible for information we hold, not for a copy you send to the consultant.

11. Intellectual property

11.1 We own or license the Program, recordings, curriculum and Program materials. A Distribution Partner, accredited provider, consultant and other third parties retain ownership of their own brands and materials, including any report a consultant provides to you under clause 10.

11.2 During the access period, we give you a limited, non-exclusive, non-transferable licence to view and use the Program materials for your own professional development and internal professional practice.

11.3 You may apply the general skills, ideas and knowledge you learn. You must not, without permission: copy, republish, sell or distribute substantial Program materials; remove rights notices; share recordings, downloads or logins; upload protected Program materials to train or improve a machine-learning model; or reproduce the materials as the curriculum or materials of another training product.

11.4 A third-party material may have additional licence conditions. We will identify them where reasonably practicable.

12. Access and technology

12.1 Your access period is shown in your Offering Schedule. Access ends at the end of that period unless we agree otherwise or law requires another outcome.

12.2 We may conduct maintenance and take reasonable steps to address outages, security issues and platform changes. We do not promise uninterrupted access, but we will provide a reasonable alternative if a material outage prevents delivery of a paid inclusion.

12.3 You are responsible for a suitable device, internet connection and software reasonably required to participate.

13. If we change, reschedule or cancel an Offering

13.1 We may reschedule or cancel an Offering because of facilitator availability, minimum enrolments, platform failure, illness, an accrediting requirement or another event reasonably outside our control.

13.2 The Refund and Cancellation Policy sets out your options if we cancel, materially reschedule or do not reschedule your Offering.

13.3 To the extent permitted by law, we are not responsible for incidental arrangements or costs you incur, such as travel, accommodation, locum or leave cover, or time away from work.

14. Privacy and communications

14.1 We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. Our Privacy Policy and collection notices, as updated from time to time, explain what we collect, why, and who we may disclose it to. This includes Distribution Partners, accredited providers and accrediting bodies, facilitators, panel consultants, a practice or employer that bought your seat, and our service providers.

14.2 Where we need sensitive information, such as a professional-association membership number for CPD reporting, we will seek your consent as the law requires.

14.3 We may use and disclose aggregated or de-identified information for any purpose, including to evaluate and improve our Programs, report to our partners, and promote our Programs.

14.4 We may send you service messages about your purchase by any reasonable means. We may send you marketing as permitted by law, and you can unsubscribe at any time without affecting service messages.

15. Complaints

15.1 Contact us first at support@ai-institute.com.au if you have a question or complaint. Our Complaints Policy on our website explains the process.

15.2 If a complaint concerns CPD reporting or accreditation, we may coordinate with the accredited provider and accrediting body. If it concerns an Arranged Service, we may coordinate with the consultant. We remain responsible for responding to you about the Offering we sold.

16. Liability and the Australian Consumer Law

16.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms, the Refund and Cancellation Policy, a Program Rider or an Offering Schedule excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, and every limit or exclusion in them applies only to the extent the law allows.

16.2 For services of a kind not ordinarily acquired for personal, domestic or household use or consumption, and where it is fair and reasonable to do so, our liability for failing to meet a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

16.3 Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, income, business, opportunity, data or goodwill, except for loss caused by your breach of clause 6.5 or section 11.

16.4 We are not liable for:

(a) any clinical, professional or business decision you make, or its outcome, including any loss involving your patients, clients, practice, registration or indemnity arrangements;

(b) your use of any AI tool or its outputs, or of any third-party product or service; or

(c) a decision of an accrediting body or other professional body.

16.5 Our total liability for all claims arising from a purchase is limited to the amount paid for that purchase. This limit does not apply to fraud, wilful misconduct, or personal injury or death caused by our negligence.

16.6 We do not guarantee any particular result from an Offering, including time savings, efficiency gains or business outcomes.

17. General

17.1 The version of these terms accepted when you purchased applies to that purchase. We may update these terms for future purchases at any time.

17.2 These terms, together with the documents listed in clause 1.4, are the entire agreement between us about your purchase.

17.3 You accept these terms, and any engagement terms for an Arranged Service, electronically, for example by ticking a box at checkout or booking. Your acceptance is binding.

17.4 We may assign or transfer our rights and obligations to a related body corporate, or to a buyer of all or part of our business, provided this does not materially reduce your rights under your agreement. You may not assign or transfer yours, except as permitted by the substitution rules in the Refund and Cancellation Policy.

17.5 If a provision is invalid or unenforceable, it is read down or severed to the minimum extent necessary, and the rest continues.

17.6 A delay in exercising a right is not a waiver of it.

17.7 Sections 6, 11, 14 and 16, and any other provision that by its nature should continue, survive the end of your access.

17.8 These terms are governed by the laws of Victoria. The courts of Victoria have non-exclusive jurisdiction.

17.9 Notices. We may give you notices by email to the address associated with your purchase, and you must keep it current. You may give us notices by email to support@ai-institute.com.au. An email notice is received when sent, unless the sender receives a delivery failure message.
